    Terms of Service

This document outlines the contractual, privacy, and operational rules governing use of Eleven Solutions services.

    1. Agreement, Scope, and Binding Effect

These Terms of Service (the “Terms”) form a binding agreement between Eleven Solutions LLC (“Eleven Solutions,” “we,” “us,” or “our”) and the person or legal entity that purchases, accesses, administers, resells, integrates with, or uses any Eleven Solutions service (“Customer,” “you,” or “your”). The services include hosted business telephone systems, interconnected or non-interconnected VoIP functionality, SIP trunking, SIP registration, cloud PBX services, direct inward dialing numbers, toll-free numbers, messaging, voicemail, transcription, call recording, call routing, number porting, integrations, APIs, dashboards, support, and related communications infrastructure.

By creating an account, clicking an acceptance mechanism, signing an order, submitting payment, provisioning a number, placing or receiving a call or message, accessing the portal, or allowing any user or downstream party to use the services, you accept these Terms and every policy incorporated by reference. If you act for an organization, you represent that you have authority to bind that organization. If you lack authority, you must not use the services.

These Terms incorporate the Fair Use Policy, Privacy Policy, Refund Policy, SMS Terms, plan description, pricing page, order form, carrier requirements, campaign approvals, and any service-specific disclosures displayed on elev1solutions.com. In a conflict, a signed written enterprise order form executed by an authorized officer of Eleven Solutions controls only for the expressly conflicting commercial term; otherwise the policies published on elev1solutions.com control.

No salesperson, reseller, contractor, support representative, affiliate, or other agent may alter these Terms orally or through informal messages. Eleven Solutions is bound only by terms published on elev1solutions.com or by a written amendment signed by an expressly authorized corporate officer.

    2. Definitions and Rules of Interpretation

“Account” includes the master customer account, every seat, extension, user, subaccount, tenant, SIP credential, API credential, device, number, campaign, integration, and downstream account associated with the Customer. “Traffic” includes signaling, calls, messages, recordings, media, metadata, routing attempts, API activity, and any communications transmitted through or presented to the services.

“Applicable Law” means every statute, regulation, rule, order, code, ordinance, regulatory direction, binding industry requirement, carrier rule, registry obligation, court order, and legally enforceable standard applicable to a party, service, jurisdiction, destination, campaign, or communication. References to laws include amendments, replacements, implementing rules, and successor regimes.

Headings are for convenience only. “Including” means including without limitation. A right described as discretionary may be exercised in Eleven Solutions’ reasonable operational, legal, security, financial, carrier, compliance, or business judgment. Failure to enforce a provision is not a waiver.

    3. Eligibility, Business Use, and Verification

The services are offered for legitimate business communications and are not intended for anonymous, deceptive, unlawful, or consumer evasion activity. You must be legally capable of contracting and must provide accurate, current, complete, and verifiable identity, ownership, address, contact, tax, billing, campaign, and beneficial-ownership information.

Eleven Solutions may require KYC, KYB, sanctions screening, beneficial-owner verification, government identification, corporate records, proof of address, website review, campaign scripts, sample messages, consent records, lead-source records, payment verification, source-of-funds information, or other due diligence before or after activation. Payment does not guarantee approval, activation, route access, messaging approval, number assignment, porting, international calling, or continued service.

You must promptly update information and cooperate with reverification. We may reject, limit, suspend, or terminate any account that fails verification, provides inconsistent information, conceals ownership or traffic origin, uses a high-risk payment method, creates unacceptable chargeback or fraud exposure, or presents legal, carrier, security, financial, or reputational risk.

    4. Service Characteristics, Changes, and Dependencies

VoIP and cloud communications depend on electricity, broadband connectivity, local networks, endpoint configuration, DNS, third-party carriers, internet routing, data centers, numbering administrators, registries, and other systems outside Eleven Solutions’ direct control. Service may be delayed, degraded, blocked, rerouted, filtered, labeled, interrupted, or unavailable.

We may add, remove, replace, discontinue, migrate, reprice, rate-limit, reconfigure, or modify any route, feature, API, codec, number type, carrier, integration, portal function, security control, technical requirement, or plan. We may perform emergency or scheduled maintenance. We do not guarantee uninterrupted service, any specific carrier, route, IP address, data center, geographic path, codec, caller-name display, spam-label outcome, message delivery, porting date, or number availability.

Beta, preview, trial, experimental, or no-charge features are provided as-is and may be withdrawn at any time. Customer must maintain business continuity plans, alternate communications methods, backups, export procedures, and disaster-recovery measures appropriate to its operations.

    5. Regulatory Framework and Customer Compliance

Eleven Solutions operates within a layered telecommunications ecosystem. Different obligations may apply depending on service classification, call direction, destination, customer use case, technology, jurisdiction, and whether Eleven Solutions or an upstream provider is the regulated entity. Nothing in these Terms represents that every listed statute applies identically to every service.

Customer is the initiator, sender, seller, campaign operator, content provider, and caller for communications generated through its account unless Applicable Law provides otherwise. Customer is solely responsible for determining and satisfying campaign-level consent, disclosure, registration, licensing, suppression, quiet-hour, recordkeeping, content, and calling-party obligations. Eleven Solutions’ platform controls do not transfer those duties to Eleven Solutions.

Customer must comply with all Applicable Law and all carrier, registry, traceback, numbering, and messaging requirements, including the following where relevant:

    • The Communications Act of 1934, as amended, including provisions administered by the Federal Communications Commission (FCC)
    • The Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and implementing rules including 47 C.F.R. § 64.1200
    • The Telemarketing and Consumer Fraud and Abuse Prevention Act and the Federal Trade Commission Telemarketing Sales Rule, 16 C.F.R. Part 310
    • The Truth in Caller ID Act and prohibitions on knowingly transmitting misleading or inaccurate caller identification information with intent to defraud, cause harm, or wrongfully obtain anything of value
    • The Pallone-Thune TRACED Act, FCC robocall mitigation rules, STIR/SHAKEN implementation requirements, traceback cooperation obligations, and Robocall Mitigation Database requirements applicable to covered providers
    • FCC interconnected VoIP 911 and E911 rules, including registered-location disclosures, customer acknowledgments, routing requirements, and limitations applicable to nomadic service
    • Kari’s Law and Section 506 of RAY BAUM’S Act requirements where applicable to multi-line telephone systems, direct 911 dialing, on-site notification, and dispatchable location
    • Customer Proprietary Network Information requirements under Section 222 of the Communications Act and applicable FCC rules where Eleven Solutions is legally classified as a covered telecommunications carrier or interconnected VoIP provider
    • CALEA obligations where applicable, lawful process requirements, preservation demands, subpoenas, court orders, emergency requests, and legally authorized surveillance assistance
    • FCC number-portability, slamming, cramming, toll-free-number, numbering-resource, accessibility, relay-service, outage-reporting, and consumer-protection rules to the extent applicable
    • Federal and state Do Not Call rules, state mini-TCPA statutes, state telemarketing registration and bonding laws, call-recording and interception laws, privacy laws, biometric laws, consumer-protection laws, sanctions rules, export controls, and equivalent foreign requirements
    • CTIA Messaging Principles and Best Practices, carrier codes of conduct, A2P 10DLC requirements, toll-free messaging verification requirements, campaign registry rules, short-code requirements, and upstream provider policies

    6. Telemarketing, Consent, Do Not Call, and Outreach

Before any marketing, solicitation, lead-generation, informational, debt-related, political, charitable, survey, prerecorded, artificial-voice, autodialed, predictive-dialed, or bulk campaign, Customer must independently determine the legal basis for each communication and retain evidence sufficient to prove compliance. Consent must be valid for the specific seller, purpose, channel, number, and technology used, and must not be obtained through deception, bundled disclosure, prechecked boxes, purchased lists, scraped data, or materially unrelated lead forms.

Customer must scrub against the National Do Not Call Registry and every applicable state or internal suppression list at legally required intervals; maintain an entity-specific do-not-call list; honor revocations and opt-outs promptly; respect local calling hours; transmit accurate caller identification; make required disclosures; comply with abandoned-call restrictions; and maintain records for the legally required period.

Customer may not treat Eleven Solutions’ acceptance of traffic as legal approval. Technical capability is not permission. A number being reachable, a route being enabled, a campaign being registered, or a call being authenticated through STIR/SHAKEN does not establish consent, legality, truthfulness, or immunity from blocking or enforcement.

    7. Caller Identity, STIR/SHAKEN, Traceback, and Robocall Mitigation

Customer must use only caller IDs, CNAM values, brands, domains, sender identities, and numbers that Customer owns or is expressly authorized to use. Customer may not spoof, rotate, mask, falsify, or manipulate identity to deceive recipients, evade blocking, defeat reputation systems, impersonate another party, or wrongfully obtain value.

STIR/SHAKEN attestation is a technical statement about the originating provider’s relationship to the calling party and number; it is not a representation that the call is lawful, wanted, truthful, or immune from analytics. Eleven Solutions may assign, reduce, withhold, or alter attestation based on available identity evidence, provider policy, call path, numbering authority, and legal requirements.

Customer must respond immediately to traceback, traceback-group, carrier, regulator, law-enforcement, and abuse inquiries. Eleven Solutions may preserve records, block traffic, disclose information where legally permitted or required, and terminate routes or accounts based on complaints, traceback findings, suspicious analytics, invalid caller ID, deficient mitigation information, or upstream direction.

    8. Emergency Calling, E911, Kari’s Law, and Dispatchable Location

VoIP emergency calling differs fundamentally from traditional wireline service. 911 or E911 may fail or be delayed during power loss, internet outage, equipment failure, incorrect configuration, relocation of a device, suspended service, unpaid balance, carrier outage, network congestion, VPN use, nomadic use, or when a registered location is missing, stale, or inaccurate.

Customer must provide and continuously maintain a correct registered emergency address and, where required, a dispatchable location for each endpoint, user, device, number, floor, suite, room, or service location. Customer must update the location before moving or activating an endpoint at a new location and must ensure all users understand the limitations.

For any multi-line telephone system subject to Kari’s Law or RAY BAUM’S Act, Customer is responsible for configuring direct 911 dialing without a prefix, any required on-site notification, and accurate dispatchable-location delivery unless Eleven Solutions expressly agrees in writing to perform a specific configuration task. Customer must maintain an independent means of contacting emergency services and must not use the service as the sole emergency communications method.

Do not test 911 by placing non-emergency calls unless coordinated through an approved test procedure. Misuse of emergency services, swatting, false reports, or interference with public-safety systems results in immediate termination and referral to authorities.

    9. Account Security, Toll Fraud, and Customer Systems

Customer is responsible for all credentials, SIP accounts, API keys, devices, PBX systems, firewalls, routers, softphones, mobile devices, integrations, forwarding rules, voicemail boxes, administrator accounts, and users connected to the services. Customer must use strong unique credentials, least privilege, supported software, secure network controls, and reasonable monitoring.

All traffic and charges generated through Customer credentials are deemed authorized by Customer unless Eleven Solutions determines otherwise in writing. Customer bears losses caused by compromised credentials, exposed SIP ports, weak passwords, endpoint malware, shared accounts, insecure integrations, contractor misuse, international-dialing exposure, call-forwarding abuse, or failure to respond to alerts.

Eleven Solutions may reset credentials, block IP addresses or destinations, disable registrations, restrict international calling, impose spend or concurrency limits, require multifactor authentication, quarantine accounts, or take any other protective action without prior notice.

    10. Pricing, Billing, Taxes, Usage, and Payment Authorization

Customer authorizes Eleven Solutions and its payment processors to charge the selected payment method for subscriptions, seats, extensions, numbers, usage, messaging, recording, storage, porting, regulatory fees, carrier pass-through charges, taxes, add-ons, overages, professional services, compliance reviews, penalties attributable to Customer traffic, and other amounts shown at checkout, in the portal, in an order, or on an invoice.

Subscriptions and number rentals are generally billed in advance. Usage and pass-through charges may be billed in arrears, deducted from prepaid balances, or charged when thresholds are reached. Rates may vary by destination, carrier, number type, route, traffic profile, regulatory classification, and upstream cost. Taxes and government fees may be estimated and later adjusted.

Customer must review invoices and dispute errors in writing within fifteen days of the charge or invoice date, whichever occurs first. Undisputed amounts remain payable. Customer may not withhold unrelated amounts. Failed payments may trigger retries, suspension, number release, collection, recovery fees, and termination.

    11. Refunds, Cancellations, and Billing Disputes

The separate Refund Policy is incorporated into these Terms. For an eligible initial purchase, Customer may request a refund within seventy-two hours after the recorded purchase timestamp. The refund is reduced by a non-refundable one-dollar platform and provisioning charge for each purchased user or seat and a separate non-refundable one-dollar number provisioning charge for each associated telephone number. A standard user bundled with one number therefore carries a two-dollar deduction.

Consumed usage, SMS/MMS charges, international charges, toll-free usage, registrations, porting costs, setup work, taxes, regulatory fees, third-party charges, custom engineering, chargeback fees, and other irreversible or consumed items are not refundable. After the seventy-two-hour window, charges are non-refundable except where Applicable Law requires otherwise or Eleven Solutions confirms a billing error.

Cancellation stops future renewal only when received and processed before the applicable billing cutoff. Deleting a user, number, extension, route, or account does not automatically cancel billing. Chargebacks filed without first giving Eleven Solutions a reasonable opportunity to investigate may result in immediate suspension, evidence submission to the payment institution, collection activity, and refusal of future service.

    12. Sales Agents, Resellers, Estimates, and Unauthorized Promises

Customers must rely only on the descriptions, prices, limitations, refund rules, and commitments published on elev1solutions.com at the time of purchase, together with any valid written enterprise order signed by an authorized corporate officer. Oral statements, messaging-app conversations, sales calls, demonstrations, projections, estimates, timelines, feature discussions, or informal emails do not amend these Terms.

Eleven Solutions is not liable for unauthorized promises, guarantees, refunds, credits, pricing, performance claims, implementation dates, legal advice, compliance assurances, carrier outcomes, number availability, porting dates, or other representations made by sales agents, independent contractors, affiliates, introducers, resellers, or support personnel. Such persons have no authority to waive policy or bind Eleven Solutions unless the commitment appears on elev1solutions.com or in a qualifying signed corporate amendment.

Customer must review the website and written order before purchasing. Customer’s reliance on an unauthorized statement is unreasonable where it conflicts with or is absent from the published policies. Nothing in this section excludes liability that cannot lawfully be excluded, including liability based on a non-waivable statute or adjudicated fraud by Eleven Solutions itself.

    13. Telephone Numbers, Porting, Ownership, and Reclamation

Telephone numbers are limited public numbering resources and are not sold as property. Customer receives a revocable right to use assigned numbers while the account remains active, compliant, paid, and supported by relevant carriers and administrators. Number availability, locality, messaging capability, CNAM display, portability, and continued assignment are not guaranteed.

Customer must provide accurate porting records and authorization. Porting dates are estimates and may be delayed or rejected by losing carriers, underlying providers, numbering administrators, data mismatches, freezes, pending orders, unpaid balances, or regulatory review. Customer must not cancel the losing service before a port completes.

Eleven Solutions may reclaim, age, replace, quarantine, suspend, or release numbers for nonpayment, fraud, inactivity, regulatory direction, carrier action, inventory management, service discontinuation, or account termination. Customer is responsible for exporting data and notifying contacts before termination. We are not liable for loss of a number except to the extent liability cannot legally be excluded.

    14. Recording, Monitoring, Voicemail, Transcription, and Content

Customer is solely responsible for determining whether calls, meetings, voicemail, messages, or other communications may lawfully be recorded, monitored, transcribed, analyzed, stored, or disclosed. Consent requirements vary by jurisdiction and may require consent of one party, all parties, employees, consumers, or union representatives.

Customer must provide all notices and obtain all consents before enabling recording or transcription. Customer controls retention, access, export, and deletion settings available through the service and must protect stored content. Transcriptions and automated analytics may contain errors and must not be relied upon as an exact legal, medical, financial, or evidentiary record.

Eleven Solutions may process communications content to provide enabled functionality, secure the service, investigate abuse, comply with law, respond to support requests, or enforce policy. We do not endorse or assume responsibility for Customer content.

    15. Suspension, Restriction, and Termination

Eleven Solutions may investigate, block, throttle, reroute, restrict, suspend, quarantine, or terminate any service, traffic, feature, route, number, campaign, or account immediately, with or without prior notice, whenever Eleven Solutions determines that action is appropriate for legal, regulatory, carrier, security, fraud, payment, operational, reputational, resource-management, or business reasons.

Eleven Solutions reserves the contractual right to terminate a connection or account at any time and is not required to provide a reason to the extent permitted by Applicable Law. Where legally required, Eleven Solutions will provide the notice or explanation mandated by law. We may also terminate convenience-based service availability, discontinue markets or products, or decline renewal.

Customer remains liable for accrued charges, usage, penalties, chargebacks, equipment, professional services, and other obligations through termination. Suspension does not waive payment. Reinstatement is discretionary and may require verification, deposits, revised rates, remediation, and payment of outstanding balances.

    16. Customer Indemnification

To the fullest extent permitted by law, Customer will defend, indemnify, and hold harmless Eleven Solutions, its affiliates, officers, directors, employees, contractors, providers, carriers, licensors, and agents from claims, demands, investigations, enforcement actions, fines, penalties, damages, settlements, judgments, costs, and reasonable legal fees arising from Customer traffic, content, campaigns, consent failures, illegal calls or messages, caller-ID use, recording, privacy violations, security failures, downstream users, products or services marketed, breach of these Terms, or violation of law.

Eleven Solutions may control the defense of any matter subject to indemnity and Customer must cooperate. Customer may not settle a claim that imposes liability, admission, obligation, or restriction on Eleven Solutions without written consent. Indemnity obligations survive termination.

    17. Disclaimers of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEVEN SOLUTIONS DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, SECURITY, AVAILABILITY, QUALITY, AND RESULTS.

Eleven Solutions does not warrant uninterrupted or error-free operation; successful delivery of any call or message; any specific answer-seizure ratio, call completion rate, spam-label result, STIR/SHAKEN attestation, porting date, number retention, emergency-call outcome, regulatory approval, revenue result, compatibility, or business outcome; or that every defect, attack, outage, or unauthorized use will be prevented.

    18. Limitation of Liability

To the fullest extent permitted by law, Eleven Solutions and its suppliers will not be liable for indirect, incidental, special, exemplary, punitive, consequential, or reliance damages; lost profits, revenue, savings, opportunities, goodwill, data, recordings, messages, numbers, customers, or business; replacement-service costs; regulatory penalties caused by Customer activity; or service interruption, even if advised of the possibility.

Except for liability that cannot legally be limited, Eleven Solutions’ aggregate liability arising from or relating to the services will not exceed the amount Customer paid directly to Eleven Solutions for the specific affected service during the three months immediately preceding the event giving rise to the claim. Multiple claims do not enlarge the cap.

Limitations apply regardless of theory, including contract, tort, negligence, strict liability, statutory claim, misrepresentation, or otherwise, and allocate risk reflected in pricing. Some jurisdictions do not allow certain exclusions, so a limitation applies only to the maximum lawful extent.

    19. Governing Law, Venue, Informal Resolution, and Time Limit

These Terms are governed by the law of the state identified in Eleven Solutions’ current corporate order documentation, without regard to conflict-of-law principles, except where federal law controls. The parties consent to exclusive jurisdiction and venue in the competent state or federal courts serving Eleven Solutions’ principal registered office, unless a mandatory law requires another forum.

Before filing a claim, a party must send detailed written notice and allow thirty days for good-faith resolution. Any claim arising from the services must be brought within one year after the event giving rise to the claim, unless a shorter or longer non-waivable statutory period applies. Customer may not bring claims as a class representative or private attorney general to the extent a class waiver is enforceable.

Eleven Solutions may seek injunctive relief, payment, fraud prevention, security protection, numbering-resource protection, or enforcement assistance without completing informal resolution where delay may cause harm.

    20. General Contract Terms

Customer may not assign these Terms or resell services without written approval. Eleven Solutions may assign these Terms to an affiliate, successor, acquirer, financing party, or purchaser of relevant assets. If any provision is unenforceable, it will be modified to the minimum extent necessary and the remainder remains effective.

Neither party is liable for delay caused by events beyond reasonable control, including carrier failures, internet outages, cyberattacks, labor disputes, government action, sanctions, war, terrorism, civil disorder, natural disaster, fire, flood, epidemic, utility failure, or upstream-provider action; payment obligations are not excused.

Notices may be delivered through the portal, email, invoice, website publication, mail to 1621 Central Ave #69526, Cheyenne, WY 82001, or account contact. Customer must maintain a monitored email address. Updated policies become effective on the date stated or when legally permitted after publication. Continued use after the effective date constitutes acceptance.

    21. Accessibility, Relay Services, and Disability Access

Customer must use the services in a manner consistent with disability-access and telecommunications-relay requirements applicable to Customer’s business. Customer may not block, degrade, surcharge, discriminate against, or intentionally interfere with properly placed relay calls, text telephone communications, real-time text, captioned communications, or other accessibility services. Customer must train personnel not to reject a communication merely because a relay assistant, interpreter, captioning provider, or accessibility technology participates in the call. Fraud concerns must be addressed through neutral verification measures rather than categorical refusal of relay users.

Eleven Solutions may support some accessibility capabilities through third-party carriers or endpoints, but availability varies by product, jurisdiction, device, and integration. Customer is responsible for selecting compatible equipment, maintaining accessible alternatives, and determining whether laws such as the Americans with Disabilities Act, Section 255 of the Communications Act, Section 508, state accessibility laws, or procurement requirements apply to Customer. Eleven Solutions does not warrant that a particular configuration independently satisfies Customer’s accessibility duties.

Customer must not misuse relay or accessibility services to conceal fraud, impersonate another person, evade verification, or impose illegitimate charges. Eleven Solutions may investigate suspicious patterns while taking reasonable steps not to discriminate against lawful users. Accessibility-related complaints must be escalated promptly and supported with call details sufficient for investigation.

    22. Outages, Maintenance, Notifications, and Continuity

Customer acknowledges that communications systems can experience planned maintenance, emergency maintenance, software defects, routing failures, carrier incidents, denial-of-service attacks, DNS failures, certificate failures, internet congestion, cloud-region disruption, power failure, natural disasters, fiber cuts, numbering-database errors, and other interruptions. Eleven Solutions may provide status information or incident notices when operationally appropriate, but absence of a notice does not establish that no incident occurred or create an independent warranty.

Customer must design operations so a single provider, number, route, endpoint, office, internet circuit, power source, or data center is not the sole point of failure for critical communications. Appropriate measures may include mobile phones, alternate carriers, failover numbers, redundant internet, battery backup, tested forwarding plans, exported contact lists, and documented emergency procedures. Customer is responsible for testing continuity arrangements and for deciding whether a cloud voice service is appropriate for life-safety, medical, alarm, elevator, fire, security, trading, dispatch, or other high-consequence uses.

Where federal outage reporting or notification duties legally apply to Eleven Solutions, Eleven Solutions will comply according to the applicable classification, threshold, and reporting framework. Customer must provide accurate incident information and cooperate with troubleshooting. Customer may not publish speculative root-cause allegations as established fact or interfere with remediation, but nothing prevents truthful reporting to regulators or exercise of protected rights.

    23. Lawful Process, Emergency Requests, Preservation, and Cooperation

Eleven Solutions may receive subpoenas, warrants, court orders, administrative demands, preservation requests, national-security process, emergency requests, civil discovery, regulatory inquiries, traceback demands, and carrier investigations. We evaluate requests according to applicable law and may require proper jurisdiction, authentication, scope, and legal authority. We may challenge, narrow, reject, or comply with a request in whole or in part. Customer authorizes preservation and disclosure where legally permitted or required.

Customer must not use the services to obstruct justice, destroy evidence, evade lawful process, conceal traffic origin, retaliate against complainants, or mislead regulators, courts, carriers, or investigators. After Customer reasonably anticipates litigation, enforcement, chargeback, or investigation, Customer must preserve relevant records within its control. Deleting data from the portal does not guarantee deletion from backups, carriers, recipients, legal holds, or systems operated by third parties.

Where law permits, Eleven Solutions may notify Customer of a request, but notice is not guaranteed and may be prohibited, delayed, impractical, or unsafe. Eleven Solutions is not liable for good-faith compliance with apparently valid legal process or emergency requests. Customer must reimburse extraordinary costs of responding to Customer-caused investigations where allowed by contract and law.

    24. Resale, Downstream Users, White Labeling, and Agency

Customer may not resell, sublicense, white-label, aggregate, wholesale, or provide the services to downstream users without express written authorization. An approved reseller remains fully responsible for every downstream user, end customer, campaign, administrator, credential, payment, disclosure, privacy notice, consent record, support representation, and violation. Eleven Solutions may communicate directly with downstream parties, carriers, regulators, or recipients when necessary to address abuse, security, payment, numbering, or legal issues.

An approved reseller must present Eleven Solutions’ limitations accurately and may not promise refunds, uptime, features, regulatory approval, legal compliance, porting dates, number permanence, spam-label removal, exclusive territories, or pricing not authorized in writing. Resellers are independent businesses and not employees, partners, fiduciaries, or general agents of Eleven Solutions. No reseller may accept legal process, waive policy, incur liability, or make commitments on Eleven Solutions’ behalf.

Customer must flow down protections at least as restrictive as these Terms to downstream users and must maintain records showing acceptance. Eleven Solutions may require immediate disclosure of downstream identities and traffic. Failure to identify downstream users or maintain enforceable terms is grounds for suspension or termination.

    25. Essential Risk Allocation and Commercial Basis

The parties acknowledge that cloud communications involve risks that cannot be eliminated at commercially reasonable prices, including carrier dependency, third-party blocking, fraud, endpoint compromise, emergency-service limitations, number reassignment, regulatory change, and internet failure. The pricing and availability of the services depend on the disclaimers, customer obligations, indemnities, damage exclusions, and liability caps in these Terms. Without those provisions, Eleven Solutions would charge materially higher prices or decline to provide service.

Customer is best positioned to control its users, devices, credentials, campaign content, lead sources, consent, products, sales practices, local networks, call recording, business continuity, and recipient relationships. Eleven Solutions is best positioned to operate the platform and coordinate with upstream providers. These Terms allocate each risk to the party able to control or insure against it, subject to non-waivable law.

No remedy described in these Terms is exclusive unless expressly stated. Eleven Solutions may exercise contractual, technical, equitable, statutory, carrier, and common-law remedies concurrently. Customer’s obligations concerning payment, confidentiality, indemnity, records, investigations, ownership, limitations, dispute resolution, and accrued liability survive termination.
